These Terms of Service ("Terms") govern your access to and use of the websites operated by SafetyVerse Inc. (including safetyverse.ai and related domains), the SafetyVerse software-as-a-service platform, and all related services (collectively, the "Services"), provided by SafetyVerse Inc. ("SafetyVerse," "we," "us," or "our"), a corporation organized under the laws of the State of Delaware, USA.
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "Customer," "you," and "your" refer to that entity. If you do not agree to these Terms, do not use the Services.
1. Eligibility and Account Registration
1.1 Legal Capacity
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the authority to enter into these Terms on behalf of the Customer.
1.2 Account Security
You are responsible for all activity that occurs under your account credentials. You must keep passwords and access methods confidential and promptly notify us at [email protected] of any unauthorized use or security incident involving your account.
1.3 Authorized Users and End Users
The Customer may permit its employees, contractors, and other authorized personnel ("Authorized Users") to access and use the Services. "End Users" are individuals who receive communications delivered through the Services (for example, employees or contractors who receive daily safety moments and quizzes). The Customer is responsible for Authorized Users' compliance with these Terms and for all activity performed through its account.
2. The Services
2.1 Platform Overview
SafetyVerse is a daily safety engagement platform that delivers short safety moments and quizzes to End Users via email, SMS, and push notification. The Services include engagement analytics and reporting provided to Customers. SafetyVerse is designed as a safety engagement layer and does not replace a Customer's existing safety program, compliance platform, or regulatory obligations.
2.2 Delivery Channels
The Services deliver communications through the channels configured by the Customer, which may include email, SMS, and push notifications. Delivery depends on third-party carriers, service providers, and End User device settings, and is not guaranteed. The Services are not an emergency communication system. Do not use the Services for emergency communications.
2.3 Safety Coach
SafetyVerse offers Safety Coach as an optional add-on feature. Safety Coach provides AI-enabled safety engagement guidance at an additional monthly fee as described on the Site or in an applicable order form. Safety Coach is subject to the AI terms in Section 6 of these Terms.
2.4 Engagement Analytics
The Services provide Customers with engagement analytics and reporting, including message delivery status, open rates, quiz completion rates, quiz scores, and related metrics. Engagement analytics are derived from End User interactions with safety moments and quizzes. SafetyVerse may use aggregated or de-identified engagement data to improve and develop the Services.
2.5 Multi-Language Support
The Services support delivery of safety moments and quizzes in multiple languages based on Customer configuration. Customers are responsible for the accuracy and appropriateness of content delivered in each language.
3. Subscriptions, Billing, and Taxes
3.1 Pricing Model
SafetyVerse uses a seat-based subscription pricing model. Pricing is graduated, meaning each pricing tier applies only to the seats within that tier's range. For example, the first 25 seats are priced at the applicable rate for that band, and seats 26 through 100 are priced at the next band's rate, creating a blended per-seat rate for each account. Current pricing is described on the Site or in an applicable order form.
3.2 Annual Billing Discount
Customers who elect annual billing may receive a discount as described on the Site or in an applicable order form. Annual billing commitments are for the full annual term and are non-refundable except as required by law or as expressly stated in a signed order form.
3.3 Safety Coach Billing
Safety Coach is billed as a separate monthly add-on fee per account (not per seat) and is subject to the same billing cycle and payment terms as the Customer's seat subscription.
3.4 Free Trial
If offered, each new subscription may begin with a free trial period as stated on the Site or in the checkout flow. Unless the Customer cancels before the trial ends, the subscription will automatically convert to a paid subscription and the Customer's payment method will be charged. Data submitted during a free trial is treated as Customer Data and is subject to the same terms as data submitted during a paid subscription.
3.5 Fees and Billing
Fees are billed in advance and are non-refundable except as required by law or as expressly stated in a signed order form. Subscriptions renew automatically at the then-current rates unless cancelled through the account dashboard or by written notice to [email protected] prior to the renewal date.
3.6 Upgrades and Downgrades
Plan or seat count changes may take effect immediately. Prorated charges or credits may apply depending on the change and billing cycle.
3.7 Taxes
Fees do not include applicable taxes, levies, duties, or similar government assessments. You are responsible for any applicable taxes associated with your purchase, except for taxes based on SafetyVerse's net income.
4. License and Acceptable Use
4.1 License Grant
Subject to these Terms, SafetyVerse grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services for the Customer's internal business purposes during the subscription term.
4.2 Restrictions
You will not, and will not allow any Authorized User, End User, or third party to:
- reverse engineer, decompile, or disassemble the Services, or attempt to discover source code or underlying algorithms, except to the extent such restriction is prohibited by applicable law;
- sublicense, resell, rent, lease, or provide the Services to third parties as a standalone service, except as expressly permitted in writing by SafetyVerse;
- use the Services to develop or train a competing product or service;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Services or related systems;
- upload, transmit, or introduce malicious code, malware, or security exploits;
- use the Services in a way that violates applicable laws or regulations, including privacy, employment, marketing, and messaging laws (including the Telephone Consumer Protection Act, Canada's Anti-Spam Legislation, and similar laws);
- use the Services to send unlawful, deceptive, or harmful communications, or to harass, threaten, or impersonate others;
- scrape, harvest, or extract data from the Services except through features and exports provided by SafetyVerse;
- use the Services to collect or process Personal Information of minors under 16 (or such other age as specified by applicable law).
4.3 Suspension for Misuse
We may suspend or limit access to the Services if we reasonably believe your use poses a security risk, violates these Terms, or could harm the Services, SafetyVerse, Customers, End Users, or others. Where practicable, we will provide notice before or promptly after suspension and work with you to resolve the issue.
5. SMS and Communication Terms
The Services may support SMS messaging, email, and push notifications as delivery channels for safety moments, quizzes, and related communications.
5.1 Consent and Compliance
Communications must be sent only to End Users who have provided consent where required by applicable law. The Customer is solely responsible for obtaining and maintaining all necessary consents and providing all required notices for communications sent through the Services, including compliance with the Telephone Consumer Protection Act (TCPA) in the United States, Canada's Anti-Spam Legislation (CASL), and any other applicable messaging, marketing, or privacy laws. SafetyVerse is not responsible for the Customer's failure to obtain required consents.
SafetyVerse's standard SMS delivery uses a confirmed opt-in process: an End User selects SMS as a delivery preference and provides their own mobile number, after which SafetyVerse sends a one-time confirmation message requesting the End User reply YES before any recurring messages are sent. Recurring SMS messages are delivered only to End Users who complete this confirmation.
5.2 Opt-Out
End Users can opt out of SMS messages at any time by replying STOP. A final confirmation message may be sent. Reply HELP for assistance, or email [email protected]. End Users may also contact their employer or [email protected] for assistance. End Users can manage push notification preferences through their device settings or within the application. End Users can opt out of email communications by contacting their employer or [email protected].
5.3 Rates, Frequency, and Carriers
Message and data rates may apply. Message frequency varies based on Customer configuration and End User interactions. Typical delivery is one message per active End User per day. Carriers and third-party delivery providers are not liable for delayed or undelivered messages.
5.4 SMS and Communication Providers
SafetyVerse uses third-party service providers to deliver communications. The Customer authorizes SafetyVerse and its providers to process End User contact information and message data to send and manage communications on behalf of the Customer.
6. AI-Generated Content and No Professional Advice
6.1 AI and Automated Outputs
The Services may generate documents, answers, summaries, recommendations, quiz content, and other outputs using automated systems, including AI features such as Safety Coach ("Generated Content"). Generated Content is provided for workplace safety engagement purposes only.
6.2 Not Compliance, Legal, or Regulatory Advice
SafetyVerse is a safety engagement platform. The Services and all Generated Content do not constitute compliance advice, legal advice, regulatory guidance, medical advice, or any other form of professional advice. Generated Content does not replace a qualified safety professional, a formal safety program, a compliance platform, or the Customer's regulatory obligations. Generated Content may not reflect the specific laws, regulations, or standards applicable to the Customer's jurisdiction, industry, or workplace conditions.
6.3 Review and Validation Required
You are solely responsible for reviewing, validating, and determining whether Generated Content is accurate, complete, and appropriate for your specific use case. All Generated Content should be reviewed by qualified personnel before being relied upon in any safety program, operational decision, or regulatory context.
6.4 No Liability for Reliance
To the fullest extent permitted by law, SafetyVerse will not be liable for losses, damages, injuries, claims, or regulatory penalties arising from your use of, or reliance on, Generated Content.
7. Customer Data, Customer Content, and Privacy
7.1 Definitions
"Customer Data" means data, content, and files that you or your Authorized Users submit to the Services or that are submitted on your behalf, including End User information and Engagement Data.
"Customer Content" means content created, uploaded, submitted, or processed within the Services, including prompts, messages, safety moment configurations, quiz content, documents, templates, and files.
"Engagement Data" means data generated through End User interaction with the Services, including message delivery events, opens, clicks, acknowledgements, quiz answers, quiz scores, response timestamps, and engagement metrics derived from that activity.
7.2 Ownership
As between the parties, the Customer retains all rights in Customer Data and Customer Content. The Customer grants SafetyVerse a limited license to host, process, transmit, display, and analyze Customer Data and Customer Content solely to provide, maintain, secure, and support the Services, generate engagement analytics and reports, comply with applicable law, and perform related operations.
7.3 Aggregated and De-Identified Data
SafetyVerse may use aggregated or de-identified data derived from usage of the Services to improve and develop the Services, generate benchmarks, and create industry insights, provided that such data cannot reasonably be used to identify the Customer or any individual End User.
7.4 Customer Responsibilities
The Customer is responsible for the content, legality, and accuracy of Customer Data and Customer Content, including ensuring it has the rights, permissions, and legal basis (including any required notices and consents) to collect, use, and submit such data to the Services and to send communications through the Services.
7.5 Privacy Policy
Our Privacy Policy, available at safetyverse.ai/privacy, explains how we collect, use, and safeguard Personal Information. The Privacy Policy is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to our Privacy Policy.
7.6 Data Processing Addendum
Customers may request a Data Processing Addendum ("DPA") that governs SafetyVerse's processing of Customer Data as a data processor. The DPA supplements these Terms and is available upon request by contacting [email protected].
8. Intellectual Property
The Services, including software, design, text, graphics, interfaces, safety content library, and trademarks, are owned by SafetyVerse or its licensors and are protected by United States and international intellectual property laws. Except for the limited license in Section 4.1, no rights are granted.
8.1 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant SafetyVerse a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback into the Services without restriction or compensation.
9. Third-Party Services and Integrations
The Services may interoperate with third-party products or services (for example, project management platforms, document storage tools, or messaging providers). If you enable third-party services, you authorize SafetyVerse to exchange data with those services as directed by you and your settings. Third-party services are governed by their own terms and policies, and SafetyVerse is not responsible for third-party services, their availability, or their data practices.
10. Service Availability, Security, and Support
10.1 Availability
SafetyVerse targets high availability for the Services but does not guarantee uninterrupted or error-free operation. We may perform planned maintenance and will use reasonable efforts to schedule maintenance outside of peak business hours and to provide advance notice where feasible. In the event of unplanned downtime, we will use commercially reasonable efforts to restore service promptly.
10.2 Security
SafetyVerse maintains administrative, technical, and physical safeguards designed to protect Customer Data and Customer Content, including encryption of data in transit and at rest, access controls, audit logging, and security monitoring. We conduct periodic security assessments, including penetration testing, to evaluate and improve our security posture. 10.3 Support
Support channels and response times vary by plan and may be described on the Site or in an applicable order form. Contact [email protected] for assistance.
11. Warranties and Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, SafetyVerse disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
SafetyVerse does not warrant that the Services will be uninterrupted, error-free, or secure, that Generated Content will be accurate, complete, or applicable to any particular jurisdiction or workplace, or that communications will be delivered successfully through any channel.
SafetyVerse is a safety engagement platform. The Services do not replace a Customer's safety program, compliance obligations, or regulatory responsibilities.
12. Limitation of Liability
To the maximum extent permitted by law, SafetyVerse, its affiliates, and their officers, directors, employees, and agents will not be liable for (a) any indirect, incidental, special, consequential, exemplary, or punitive damages, or (b) any loss of profits, revenue, data, business, or goodwill, arising out of or relating to the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, SafetyVerse's total aggregate liability for any and all claims arising out of or relating to the Services or these Terms will not exceed the total fees paid by you to SafetyVerse for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limits may not apply to you. In such jurisdictions, SafetyVerse's liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless SafetyVerse and its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Customer Data or Customer Content, including communications sent through the Services;
- your violation of these Terms or applicable law;
- your use of, or reliance on, Generated Content;
- your failure to obtain required consents for communications sent through the Services;
- any claim by an End User or third party arising from communications you sent or configured through the Services.
14. Term and Termination
14.1 Term
These Terms apply while you use the Services. Subscription terms are defined by your plan, billing cycle, or an applicable order form.
14.2 Termination by Customer
You may cancel your subscription at any time through the account dashboard or by emailing [email protected]. Unless otherwise stated in an order form, access continues through the end of the then-current paid period.
14.3 Termination or Suspension by SafetyVerse
We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if continued use poses security, legal, or operational risk. Where practicable, we will provide notice before or promptly after suspension.
14.4 Effect of Termination
Upon termination, your license to use the Services ends. Customer Data and Customer Content will be retained for up to 90 days following termination to allow the Customer to export data. After the 90-day period, Customer Data and Customer Content will be deleted, subject to reasonable backup and archival practices and legal compliance obligations.
Customers are responsible for exporting data prior to or during the 90-day post-termination period. SafetyVerse is not obligated to retain or provide access to Customer Data after the 90-day period.
14.5 Survival
The following sections survive termination: Section 6 (AI-Generated Content and No Professional Advice), Section 7.2 (Ownership), Section 7.3 (Aggregated and De-Identified Data), Section 8 (Intellectual Property), Section 11 (Warranties and Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 16 (Governing Law and Venue), and this Section 14.5.
15. Export and Compliance
You represent that you are not located in, and will not use the Services from, any jurisdiction where such use is prohibited by applicable sanctions or export control laws. You must comply with all laws and regulations applicable to your use of the Services, including privacy, employment, safety, and messaging laws.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction in those courts.
17. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on the Site and update the "Last Updated" date. If changes are material, we will provide additional notice where required (for example, by email or in-app notice to account administrators). Continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, your remedy is to stop using the Services and cancel your subscription.
18. General
Entire Agreement: These Terms, together with the Privacy Policy, any applicable order form, and any DPA, constitute the entire agreement between you and SafetyVerse regarding the Services and supersede all prior or contemporaneous agreements on the subject matter.
Severability: If any provision is held unenforceable, the remaining provisions remain in full force and effect.
Assignment: You may not assign these Terms without our prior written consent. SafetyVerse may assign these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
Force Majeure: SafetyVerse is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, acts of government, internet or telecommunications failures, and carrier outages.
No Waiver: Failure to enforce any provision is not a waiver of that provision or any other provision.
Notices: Notices to SafetyVerse must be sent to [email protected]. Notices to you will be sent to the email address associated with your account.
